“I signed a contract, but the court declared it invalid. I lost everything.”

David was approached by a business partner with an investment offer. They signed a contract over a quick lunch – no lawyer, no planning. When problems arose, the court ruled: “The contract is vague and invalid.” David lost hundreds of thousands. He had signed a piece of paper that didn’t protect him.

When is a contract invalid, what makes it invalid, what formal and substantive requirements every contract must meet, what the risks are, and how to avoid them.

⚖️ What does an “invalid contract” mean

A contract is invalid if:

  • basic requirements are missing (e.g. party identification, subject matter),

  • it is contrary to law or circumvents legal rules,
